Terms and Conditions
Weblozy provides comprehensive business automation and software development services. This includes the deployment of remote contractors.
As you consider or engage Weblozy for contractor placement services, it's crucial to understand and agree to the terms outlined in this service agreement.
1. Definitions & Interpretation
Refer to Schedule 1 for definitions and interpretations specific to this service agreement.
2. Agreement - Day To Day Operation
2.1. Daily Procedures: The day-to-day operations, such as service requests, employee selection, and other activities, are governed by the terms and conditions available on the Weblozy website.
2.2. Employment Disclaimer: It is understood and agreed that this agreement with Weblozy does not establish an employer-employee relationship.
2.3. Client's Responsibility: The client holds the responsibility of selecting suitable Weblozy employees based on local guidelines for independent contractors.
2.4. No Authority to Enter Contracts: Weblozy employees do not have the authority to enter contracts on behalf of the client, and this agreement does not create a partnership between the client and Weblozy employees.
3. Duration
3.1. Monthly Basis: This agreement operates on a month-to-month basis, starting on the agreed-upon date and continuing until terminated as per the stipulated clause.
4. Payment
4.1. Terms and Conditions: Payment terms and conditions are detailed in Schedule 1 and are an integral part of this contract.
5. No Weblozy Liability
5.1. Exclusion of Liability: Weblozy is not liable for any loss, damage, costs, or compensation to the client, including delays in employee introduction, non-acceptance of offers, or employee performance.
6. Client's Indemnity To Weblozy
6.1. Indemnification: The client is responsible for indemnifying Weblozy in cases of employee injury, property damage, or claims related to employee termination.
7. Restriction On Direct Hiring Of Weblozy Service Employees
7.1. Compensation: The client must pay Weblozy $15,000.00 USD for each Weblozy employee hired directly.
7.2. Post-Termination Restriction: After contract termination, no Weblozy employee engaged in the last 12 months can be offered a contract or permanent employment by the client.
7.3. Limitations on Referrals: Weblozy employees' friends, family, referrals, and network require prior approval for work assignments.
7.4. Non-Exchange of Information: No exchange of payment and pricing information between Weblozy and its employees is permitted.
8. Intellectual Property
8.1. Ownership: All material created by Weblozy employees is owned by the client, and intellectual property rights in such work belong to the client.
9. Privacy
9.1. Compliance: All parties agree to handle personal information in accordance with privacy laws.
10. Confidential Information
10.1. Disclosure: Only information required by law is disclosed by any party.
11. Warranties
11.1. Representations: Both parties warrant the absence of pending actions, claims, or investigations affecting this contract.
12. Termination
12.1. Termination Conditions: Either party may terminate immediately for specified breaches, including client insolvency.
12.2. Trial Basis: The client may appoint a Weblozy employee on a trial basis with termination flexibility.
12.3. Notice Period: Notice periods for terminating full-time employees are specified in Schedule 1.
12.6. Post-Termination Obligations: Upon termination, the client returns all confidential information to Weblozy.
13. Acceptance
13.1. Acceptance Conditions: The client accepts these terms by making a service request, appointing Weblozy, selecting an employee, making a payment, or indicating acceptance.
14. Duty of Confidentiality
14.1. Acknowledgement: Weblozy and its employees commit not to disclose or use confidential client information.
14.2. Billing System: If the client appoints a Weblozy employee, regular billing procedures apply.
Schedule 1 - Fee Structure: Regular Billing System
Refer to Schedule 1 for detailed billing instructions, including payment options and refund policies.
Insufficient Funds: In case of insufficient funds or late payments, Weblozy may suspend services for a specified period, during which the client must settle outstanding amounts to avoid contract termination.
